User Services Agreement

This User Services Agreement (the "Agreement") governs your use of the AssessMinds platform, including any services, products, or features offered through the website. By accessing or using the platform, you agree to comply with and be bound by the terms outlined in this Agreement. If you do not agree to these terms, you are prohibited from using the platform and must cease all access immediately.

Service Overview

AssessMinds provides a suite of educational analytics tools designed to assist teachers and educational institutions in tracking student performance and identifying areas where additional support may be required. The platform aggregates and analyzes educational data, offering insights into student progress over time. The services are primarily intended for educational professionals, institutions, and authorized representatives.

User Eligibility

By using the AssessMinds platform, you represent and warrant that:

  • You are at least 18 years of age, or the legal age in your jurisdiction to enter into a binding contract.
  • You are accessing the services on behalf of a legally authorized educational institution or organization, or as a parent or legal guardian with the appropriate rights to manage a child’s educational data.
  • You have obtained all necessary consents and legal rights to provide student information and other data to AssessMinds for processing and analysis in compliance with applicable data protection laws.

Service Access and Availability

We strive to ensure that the platform is available 24/7, but we cannot guarantee uninterrupted or error-free operation. Downtime may occur due to scheduled maintenance, unexpected technical issues, or circumstances beyond our control. By using the platform, you acknowledge that:

  • Access to the services may be interrupted or temporarily unavailable without notice for various reasons, including updates, repairs, or enhancements to the system.
  • AssessMinds will not be responsible for any disruptions, delays, or unavailability of services that may occur, nor for any data loss resulting from such disruptions.
  • AssessMinds reserves the right to modify, suspend, or discontinue any part of the service at any time without prior notice or liability.

User Responsibilities

As a user of the AssessMinds platform, you are responsible for the following:

  • Providing accurate, current, and complete information during the registration process and ensuring that your account information remains updated.
  • Maintaining the confidentiality of your account login credentials and being responsible for all activities that occur under your account.
  • Ensuring that you have the appropriate consents and legal rights to submit any data, especially student data, for analysis by the platform.
  • Abiding by all applicable laws and regulations when using the platform and ensuring that your use of the service does not violate any third-party rights or legal obligations.
  • Not using the platform for any unlawful, unethical, or harmful purposes, including the harassment, defamation, or violation of others' privacy or intellectual property rights.

Prohibited Activities

In connection with your use of the platform, you agree not to:

  • Engage in any activity that could interfere with, disrupt, or negatively affect the functionality or performance of the platform.
  • Attempt to access, collect, or scrape data from the platform without proper authorization.
  • Reverse engineer, decompile, or disassemble any part of the platform, or otherwise attempt to extract source code or underlying intellectual property.
  • Transmit viruses, malware, or other harmful software that may affect the integrity of the platform or other users' data.
  • Use the platform in any manner that violates applicable laws or regulations, including data privacy laws such as the Children’s Online Privacy Protection Act (COPPA) and the General Data Protection Regulation (GDPR).

Data Privacy and Security

At AssessMinds, we prioritize the security and confidentiality of your data, particularly any information related to students. We employ industry-standard encryption and security protocols to protect your data; however, no system can guarantee complete security. By using the platform, you acknowledge that:

  • While we strive to safeguard all data submitted through the platform, we cannot guarantee that unauthorized access, hacking, or data breaches will never occur.
  • It is your responsibility to protect your account login credentials and ensure that they are not shared with unauthorized individuals.
  • In the event of a data breach, we will take reasonable steps to notify affected users and mitigate any damage, but we disclaim liability for any resulting losses or damages.
  • We may collect, store, and process user data in accordance with our Privacy Policy. By using the platform, you consent to the collection and use of your data as described therein.

Limitation of Liability

To the maximum extent permitted by law, AssessMinds and its officers, directors, employees, agents, licensors, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages resulting from:

  • Your use of, or inability to use, the platform.
  • Unauthorized access to or alteration of your data transmissions.
  • Any interruption, delay, or error in service, including any loss of data or other damages caused by service outages.
  • Any bugs, viruses, or malware that may be transmitted to or through the platform by any third party.

This limitation of liability applies regardless of the form of action, whether based on contract, tort, strict liability, or any other legal theory.

Termination of Service

AssessMinds reserves the right to terminate or suspend your access to the platform at any time, with or without cause, for any reason, including but not limited to violation of this Agreement or failure to comply with applicable laws. Upon termination, your right to use the platform will cease immediately, and any data or content you may have stored on the platform may be deleted.

Indemnification

You agree to indemnify, defend, and hold harmless AssessMinds, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorney fees, arising out of or in connection with your use of the platform, your violation of this Agreement, or your infringement of any third-party rights.

Service Modifications and Updates

AssessMinds reserves the right to modify, update, or discontinue the platform, or any part thereof, at any time without prior notice. We may, from time to time, implement new features or make improvements to existing features. By continuing to use the platform after such updates, you agree to accept any changes to the service and this Agreement.

Third-Party Services and Links

The platform may include links to third-party websites or services. These links are provided for convenience only, and AssessMinds does not endorse, control, or assume any responsibility for the content, privacy policies, or practices of any third-party websites or services. Your use of such third-party services is at your own risk, and we encourage you to review the terms and conditions of any third-party services you access.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which AssessMinds operates. Any disputes arising from or related to this Agreement or your use of the platform shall be resolved through binding arbitration, to be held in the jurisdiction of AssessMinds’ principal place of business, unless otherwise agreed by the parties.

Severability

If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be deemed modified to the extent necessary to make it enforceable, or if such modification is not possible, it shall be severed from this Agreement.

Entire Agreement

This Agreement, along with our Privacy Policy and any other terms or conditions referenced herein, constitutes the entire agreement between you and AssessMinds with respect to the use of the platform. It supersedes all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and AssessMinds regarding the platform.

Changes to this Agreement

We reserve the right to update or modify this Agreement at any time. Any changes will be effective immediately upon posting. It is your responsibility to review this Agreement periodically for any updates. Continued use of the platform after such changes shall constitute your acceptance of the revised terms.
